These Terms of Service ("Terms") govern your access to and use of newtonstech.com (the "Site"), operated by Newtons Tech LLC ("Newtons Tech," "we," "us," or "our"). By accessing or using the Site, you agree to these Terms.
Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to enter into these Terms. If you are between 13 and the age of majority, you may only use the Site with the involvement and consent of a parent or legal guardian who agrees to be bound by these Terms. We do not knowingly allow children under 13 to use the Site.
The Site
The Site provides information about Newtons Tech and the services we offer. It does not, by itself, constitute a binding offer of services. Any engagement for services is governed by a separate written agreement signed by both parties. While we strive to keep the Site available, we do not guarantee that the Site, the contact form, or any feature will always be available, uninterrupted, or error-free. We may modify, suspend, or discontinue any part of the Site at any time without notice.
Estimates and Calculators
Any figures produced by tools on the Site, including the ROI Calculator, are directional estimates for planning only. They are based on the inputs you provide and general assumptions, are not a quote, and are not a guarantee of savings, results, or future performance. Actual outcomes depend on your specific processes and are determined only through a scoped engagement.
Subscriptions and Recurring Billing
Newtons Tech offers Care Plans and other services on a recurring monthly or annual basis. Subscriptions automatically renew at the end of each billing period at the same price unless cancelled before the renewal date. Your renewal date is the same calendar day each cycle (a subscription that starts on the 15th renews on the 15th). The payment method on file will be charged automatically on the renewal date.
If we change the price of a subscription, we will notify you by email at least 30 days before the new price takes effect. You may cancel before the new price applies if you do not wish to continue.
Auto-Renewal Disclosure
By subscribing to a Care Plan or other recurring service, you authorize Newtons Tech LLC to charge your payment method on a recurring basis (monthly or annual, depending on the plan you selected) until you cancel.
You can cancel at any time through the Stripe Customer Portal at pay.newtonstech.com or by emailing billing@newtonstech.com.
Failed Payments
If a renewal payment fails, our payment processor will retry the charge using a smart retry schedule, up to four attempts over approximately two weeks. During the retry period your subscription is marked past-due and service may be paused at our discretion. If all retries fail, the subscription is automatically cancelled. You may resume service by signing up again with a working payment method.
Cancellation
You may cancel a subscription at any time through the Stripe Customer Portal or by emailing billing@newtonstech.com. Cancellations take effect at the end of the current billing period. You retain access to paid services until the end of the period you have already paid for. We do not issue prorated refunds for partial months or unused time within a paid period.
Refunds
Subscription payments are generally non-refundable. Refunds may be issued at the sole discretion of Newtons Tech LLC, typically only in cases of duplicate charges, technical errors on our end, or services we failed to deliver. Refund requests should be sent to billing@newtonstech.com. See our separate Refund Policy for full detail on project work, hourly support, and dispute handling.
Service Suspension for Non-Payment
Newtons Tech LLC may pause hosting, support, or other Care Plan benefits if a subscription is past-due. Service is restored once payment is current. We do not delete sites or data during a past-due period, but sites may be archived if the subscription is cancelled after the retry window fails.
Plan Changes (Upgrades and Downgrades)
You can upgrade or downgrade Care Plans at any time via the Stripe Customer Portal. Upgrades take effect immediately, with prorated charges for the remainder of the current billing period. Downgrades take effect at the end of the current billing period. Switches between monthly and annual billing follow the same prorate-on-upgrade, end-of-period-on-downgrade pattern.
Acceptable Use
You agree not to:
- Use the Site for any unlawful purpose
- Attempt to gain unauthorized access to any part of the Site or its infrastructure
- Interfere with or disrupt the Site
- Scrape, crawl, or harvest content through automated means designed to evade access controls
- Transmit malware, viruses, or other harmful code
- Use any content from the Site to train, develop, fine-tune, or evaluate artificial intelligence or machine learning models, without our express written consent.
Intellectual Property
All content on the Site, including text, images, code, logos, and designs, is the property of Newtons Tech LLC or its licensors and is protected by copyright and other intellectual property laws. You may not copy, reproduce, or redistribute our content without our written permission, except as permitted by fair use.
Feedback
If you send us feedback, suggestions, or ideas about the Site or our services, you grant Newtons Tech LLC a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without compensation or attribution to you.
Third-Party Links
The Site may include links to third-party websites. We are not responsible for the content or practices of those sites.
Disclaimer of Warranties
THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, NEWTONS TECH LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Limitation of Liability
To the fullest extent permitted by law, Newtons Tech LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site. Our total liability, if any, is limited to $100.
Indemnification
You agree to indemnify and hold harmless Newtons Tech LLC and its officers, members, and employees from any claims, damages, or expenses arising from your use of the Site or your violation of these Terms.
Termination
We reserve the right, at our sole discretion and without notice, to suspend, restrict, or terminate your access to the Site if we believe you have violated these Terms or engaged in conduct that may harm the Site, other users, or Newtons Tech LLC. Sections that by their nature should survive termination (including Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law) will survive.
Governing Law
These Terms are governed by the laws of the State of Tennessee, without regard to conflict of laws principles. Any disputes arising from these Terms or your use of the Site will be resolved in the state or federal courts located in Knox County, Tennessee.
Changes to These Terms
We may update these Terms from time to time. Material changes will be noted on the Site. Continued use of the Site after changes constitutes acceptance of the updated Terms.
Electronic Communications
By using the Site, you consent to receive communications from us electronically, including notices posted on the Site and messages sent to any email address you provide. You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
Miscellaneous
- Severability: If any provision of these Terms is found unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
- Entire Agreement: These Terms constitute the entire agreement between you and Newtons Tech LLC regarding your use of the Site and supersede any prior agreements or understandings.
- No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
- Assignment: You may not assign or transfer these Terms or any rights under them without our prior written consent. We may assign these Terms at any time, including in connection with a merger, acquisition, or sale of assets.
